The T2 is the Corporation Income Tax Return that every incorporated business in Canada files each year with the Canada Revenue Agency. It is filed by the corporation itself, entirely separate from the owners' personal T1 returns. The nine-page T2 jacket reports the corporation's income, deductions, and tax, and is supported by GIFI (General Index of Financial Information) financial statements and a stack of numbered schedules.

A corporation must file its T2 within six months of its fiscal year-end. Any balance owing is due earlier: two months after year-end for most corporations, or three months for a Canadian-controlled private corporation that claimed the small business deduction and meets the CRA's conditions. Larger corporations pay monthly instalments through the year. A corporation must file even if it owes no tax and even if it was inactive.

Which corporations have to file a T2?

Every resident corporation files a T2 for every tax year, including non-profit organizations, inactive corporations, and tax-exempt corporations, whether or not any tax is payable. The main exception is a registered charity, which files the T3010 information return instead. Non-resident corporations that carried on business in Canada or disposed of taxable Canadian property generally have to file as well.

What is a CCPC and why does it matter?

A Canadian-controlled private corporation is a private corporation resident in Canada that is not controlled by non-residents or public companies. CCPC status unlocks the most valuable parts of the corporate tax system: the small business deduction, the refundable tax regime on investment income, and the lifetime capital gains exemption on qualifying shares (the capital dividend account, by contrast, is available to any private corporation). Most owner-managed Canadian companies are CCPCs, and the corporate report is built around them.

What is the small business deduction?

The small business deduction lowers the federal tax rate on the first $500,000 of active business income to 9%, versus the 15% general rate. Provinces add their own low rate on top. The $500,000 limit is shared across associated companies, and it grinds down as a corporation earns passive investment income over $50,000 a year (eliminated at $150,000) or holds taxable capital over $10 million. Ontario and New Brunswick do not follow the passive-income grind, so their low provincial rate can survive it.

How is investment income taxed inside a corporation?

Investment income earned by a CCPC (interest, foreign income, and the taxable half of capital gains) is taxed at a high rate of roughly 50%, but a large part of that tax is refundable. It goes into the refundable dividend tax on hand (RDTOH) account and comes back to the corporation when it pays taxable dividends out. Portfolio dividends the corporation receives are handled by a separate, fully refundable tax (Part IV at 38.33%) that works the same way. The design is integration: earning investment income through a corporation should end up taxed at about the same total rate as earning it personally, so the corporation is mostly a timing tool.

What schedules come with a T2?

The financial picture comes from the GIFI schedules: Schedule 100 (balance sheet) and Schedule 125 (income statement). Schedule 1 reconciles book income to net income for tax purposes. Common others include Schedule 8 (capital cost allowance), Schedule 3 (dividends received), Schedule 6 (capital gains and losses), Schedule 7 (aggregate investment income, which drives the passive-income grind and RDTOH), Schedule 50 (shareholders), and Schedule 53 (the general rate income pool that governs eligible dividends). Which schedules apply depends on what the corporation did that year.

Can I see a corporation's whole tax picture from the T2?

Not from the jacket alone. The balances that drive corporate planning (refundable tax on deposit, the capital dividend account, the eligible-dividend pool, the small business limit left after the grind, losses carried forward) live across different schedules, and some are not on the return at all.
